End User Licence Agreement

Draft. Not yet in force: the operator's details and some terms are still to be filled in.

Effective [Effective date] · Version 1

1. This agreement

This is an agreement between you and [Operator name] ("we") for the Claron software ("Claron"). By installing or using Claron you agree to it. If you do not agree, do not install or use Claron.

2. What you may do

A licence key you have bought lets you use Claron, for any purpose including commercial work, in the major version it was bought for (for example 1.x) and every release within that major version. It may be active on up to two computers at a time. You can move it to another computer by removing it from one, in the application or on your account page.

Claron processes images only on a computer where a licence is active. Without one you may install it, but it will not process images.

These rights are personal to you, not exclusive, and may not be transferred except as this agreement allows.

3. Activation and licence checks

When you enter a licence key, and from time to time afterwards when Claron starts, Claron contacts our licence service to confirm that the licence is valid. It sends the licence key, an identifier created at random when you activate, the name of your computer as set in macOS, and the version of Claron.

Claron keeps working without a connection, however long it has been since the last successful check, and checks again when it can. If our licence service then answers that the licence is no longer valid — because it was refunded or withdrawn, because that computer was removed from it, or because it is for a different major version — Claron stops processing images on that computer. Nothing you have made is affected.

How this information is handled is described in our Privacy Policy.

4. What you may not do

You may not share, publish, sell or lend a licence key; use a licence on more computers than it allows; or remove, disable or work around the licence checks.

You may not decompile, disassemble or reverse engineer Claron, except to the extent that applicable law, or the licence of an open-source component (section 5), permits it despite this restriction.

5. Open-source components

Claron includes software written by others and published under open-source licences. Those components, their licences and their notices are listed in the application under Acknowledgements. Each is governed by its own licence, and nothing in this agreement limits the rights that licence gives you.

Some of those licences require the component's source code to be available to you: LibRaw, which reads raw files and is used under the Common Development and Distribution License (CDDL) 1.0, and the components under the Mozilla Public License 2.0. We will send you the source code of those components as included in Claron, for no more than the cost of providing it, if you write to privacy@claron.app; most of it is also published where the Acknowledgements link to. Your rights in that source code are the ones its licence gives you, and nothing in this agreement, including section 4, limits them.

6. Updates

Claron may check whether a newer version is available and offer it to you. It does not install anything until you choose to. Releases within a major version are free to licence holders; a new major version is a separate purchase.

7. Your files

Claron processes your images on your computer. It does not upload them anywhere. It reads the files and folders you add, writes its results to the folder you choose (beside the frames, unless you choose another) and projects where you save them, keeps measurements of your frames in a cache on your computer so that opening them again is quick, and writes temporary files that it removes when it is done. It never writes over the files you add.

Keep copies of anything you cannot afford to lose. Software can fail, and Claron writes many large files.

8. No warranty

Claron is provided as it is, without any warranty that it will meet your needs or work without error, to the extent the law allows. Some places do not allow warranties to be excluded, and your rights as a consumer in your country are not affected by this section.

9. Limits on our liability

To the extent the law allows, we are not liable for indirect or consequential loss, or for loss of data, profits or opportunity, arising from your use of Claron, and our total liability to you is limited to the amount you paid for your licence in the twelve months before the claim.

None of this limits liability for loss caused by our intent or gross negligence, for death or personal injury caused by our negligence, or anything else that cannot be limited by law.

10. Ending this agreement

This agreement ends automatically if you break it, and you must then stop using Claron. If you are refunded for a licence, that licence ends, and Claron stops processing images on the computers it was active on the next time it reaches our licence service. Sections 7 to 11 continue after it ends.

11. Changes, law and contact

We may change this agreement for future releases. Claron will show you the new version and ask you to agree before you use it.

This agreement is governed by the laws of Japan, and the Tokyo District Court has exclusive jurisdiction over disputes as the court of first instance. If you are a consumer, this does not take away the protection of mandatory laws where you live.
